Shanghai Administration for Industry and Commerce:
In accordance with the provisions of the Administrative Regulations of the People's Republic of China on the Registration of an Enterprise by Legal Persons, Administrative Regulations of the People's Republic of China on Company Registration and the Administrative Measures for Authorized Registration of Foreign-invested Enterprises", the State Administration for Industry and Commerce has examined the conditions of the administrative authority of your branch in the Pilot Free Trade Zone on foreign-invested enterprises registration, and decide to authorize the administrative authority of a foreign-invested enterprise registration to it. The relevant issues are hereby addressed as follows:
I. The scope of the foreign-invested enterprise registration administrated by the branch of the Shanghai Administration for Industry and Commerce in the Pilot Free Trade Zone (FTZ Branch of the SAIC) is:
(I) Foreign-invested enterprises and their branches whose establishment is subject to approval from or filing with the Shanghai Municipal People's Government and/or the Administration Committee of the China (Shanghai) Pilot Free Trade Zone (collectively "local authorities"), as well as foreign enterprises which are subject to approval from the local authorities to carry out production and operation activities such as contracting projects, contracting or entrusted operation and management.
(II) Other enterprises which are subject to the registration and administration of, and are approved by, the State Administration for Industry and Commerce where such approving authorities are delegated to the FTZ Branch of the SAIC.
II. The authorized branch of the Shanghai Administration for Industry and Commerce in the Pilot Free Trade Zone shall earnestly implement the Opinions of the State Administration for Industry and Commerce on Supporting the Construction of the China (Shanghai) Pilot Free Trade Zone, further deepen the reform, accelerate the function transformation, carefully perform its duties, improve the efficiency of registration and administration and proactively contribute to the establishment of the FTZ.
